 All Members of Presidential Inner Circle (the “Club”), by electing Club membership (“Membership”), accept and agree to the following terms and conditions of Membership set forth herein below:
1/ Membership Term
Club Membership is available on a renewable annual basis. Membership shall be deemed active from the date of receipt of the full Membership Fee payment.
2/ Automatic Renewal of Membership
Members in good standing shall receive a renewal invitation forty-five (45) days prior to the end of their current Membership Term. Members are requested to promptly reply to the renewal invitation. MEMBERSHIP EXTENTION SHALL BE ASSUMED IN THE EVENT OF NON-REPLY and membership shall automatically be renewed on the anniversary date of the Membership Term. All memberships are renewed at the Club’s sole discretion.
3/ Membership Suspension
Fees are due and payable in full on or before the beginning of each Membership Term. Membership privileges and access rights shall be suspended for any accounts that are not current until such time as payment in full is received. Suspension of Membership due to late payment will not result in a corresponding adjustment or extension of the Membership Term. Members are therefore advised to pay fees when or before they are due to avoid suspension or interruption to membership benefits.
4/ Membership Access
(a) The annual Club Membership Fee is a membership access fee that delivers Members exclusive access to the Club services, networking events and benefits throughout their Membership Term. The Club undertakes to provide members with access to a minimum of at least thirty (30) events annually. Some events may be held outside of the United States.
(b) Members should anticipate incurring additional costs for attending Club events including, but not limited to, travel costs, ground transportation, meals, accommodations, event entry costs (where they exist) and conference call costs. All such ancillary expenses are to be paid directly by the Member and are acknowledged as expenses that are in addition to Membership Fees. Unless expressly offered through the Club, all travel arrangements shall be made by Member.
5/ Membership Fee
The current schedule of Club Membership Fees are set forth on the Presidential Inner Circle web site. Membership Fees are subject to change. Members will be notified of any such changes in their renewal notices. All membership fees are exclusive of applicable sales taxes, if any.
6/ No Refunds
Members acknowledge that Presidential Inner Circle Membership cannot be cancelled within the Membership Term as the cost of delivering many of the services, in particular the events with guest speakers (who may be paid for their time and participation well in advance of the event or at the time of booking), are based on each Member’s Membership Fees being paid in full for the term they have selected. Therefore there will be no refunds or rebates for unused portions of membership. In the event that, as an accommodation to the Member, a separate instalment payment agreement is entered into, Member must continue the agreed upon payments for the full term of such agreement.
7/ Membership Qualifications
Membership is open to financially qualified candidates, at least 21 years of age, on a space available basis. The Club reserves the right to refuse club membership in its sole discretion. The Membership Committee and/or Board of Directors may require an interview of any applicant for Membership. Club Membership may be capped at any given time. Membership shall be confirmed by written notice to the Member following Club’s receipt of annual Membership Fees and a completed application.
8/ Membership Termination
The Club reserves the right to terminate a Member’s Membership at any time should that Member be acting personally or professionally in a way that the Club considers is inappropriate or for any other reason which is unanimously agreed by the Club Board. By way of example, for cause termination of Membership may occur in instances where a Member has: committed a tort upon any other Club Member; been convicted of a felony; violated Club’s confidentiality or copyright policies; defamed another Club Member; received intense public adverse notoriety; engaged in a physical or verbal confrontation during a Club event; or failed to make a Membership Fee payment when due. No Member’s Membership will be terminated during the Membership Term unless it is agreed by all the Presidential Inner Circle Board Members. A terminated Member shall be notified in writing of the Board’s decision. In the event of Membership termination under this paragraph, Membership Fees shall be forfeited.
9/ Attendance Optional
Attendance to any and all Club events is optional and solely at the discretion of the Member to decide which events to participate in and which events would be most beneficial to the Member.
10/ Event Attendance Limits
Certain Presidential Inner Circle events will have limits on the number of Members who can participate in the event. Platinum Members will receive priority event notifications, followed by Gold and Silver members at the Clubs sole discretion. Event seats will be allocated on a first come, first served basis. The Presidential Inner Circle reserves the right to allocate seats by drawing should undue scarcity exist for access to some events.
11/ Waiting List
When the Club’s Membership allocation has been exhausted, serious individuals wanting to gain membership to the Club will be placed on a waiting list after they pay 10% of the current Membership Fee (the “Wait List Fee”). No one will get on the waiting list without payment of this Fee, this ensures those on the waiting list are serious and committed to being part of the Club. The waiting list will be prioritised in the order people join it, so those first on it will be those first to receive membership access when vacancies become available. The Wait List Fee is non-refundable and non-transferable but shall be applied to the first year’s Club Membership Fee leaving the 90% balance to be paid in full when Club Membership is confirmed. The Wait List Fee shall lock the membership applicant into the rate structure in place on the date that the deposit is lodged with the Club.
12/ Members Spouse Priority Membership Access
Existing Club Members who wish to get their spouses (only 1 permitted per club member) admitted into Club Membership, will need to pay the Wait List Fee (process detailed in paragraph 11 above), but will have their spouse immediately move to the top of the wait list as a mark of respect for the existing Club Member and to recognise and encourage couples participation in the Club together and the importance of maintaining harmonious relationships.
13/ Debt Collection Costs
Members acknowledge the Club has the right to pursue Members for any unpaid fees or bookings made, and that each Member agrees to the Club’s terms and conditions contained herein. Each member therefore agrees to reimburse the Club or its recovery agent for any unpaid fees, charges, event costs, all debt collection, legal, administration or any other costs incurred in the recovery of outstanding members monies including but not limited to interest on outstanding monies at the rate of 18% per annum.
14/ Confidentiality
Members are required to keep the time, date, location, and content of any Presidential Inner Circle meetings or events and the Club Members’, Board of Governors’, President and Founders’ contact details including mobile phone numbers and email addresses, private and confidential at all times. The value, uniqueness and exclusivity of the Club must be protected by its Members, failure to do so may result in termination of Membership.
15/ Copyright Video Footage and Photography & Media Policy
In order to protect the Presidential Inner Circle Membership exclusivity and uniqueness, members are required to adhere to the strict media policies of each event. The Clubs reputation and good standing must be protected and therefore member’s presence at events must be respectful, elegant, sophisticated and unobtrusive. To achieve this and to provide a framework that will accommodate the personal needs of members, Club Members agree to abide by this policy:
a) Platinum Masters Meetings: Members cameras and recording devices are prohibited. The Club will provide a photographer who will work within the host speakers media policy while accommodating members needs and acting throughout the event with professionalism, privacy and discretion.
b) Other Events: Members may not use cameras or recording devices at events where a Presidential Inner Circle photographer is provided.
Video footage, photographs, recordings and/or images of any type, at any event, either captured by the Member personally or provided by the Club, its web site or any other party are deemed solely for your personal use only. Personal use means they cannot be shown, used or displayed publicly or commercially in any way including promotions, web sites including, but not limited to Member’s personal social networking page(s).
Commercial use of event media can normally be obtained if members submit a Club Media Commercial Permission Release Form to the Club Board for approval. Only after the Club Boards written approval is issued may the media be used for the specific purpose, publications and/or web sites listed in the permission application form.
Under no circumstances can any member provide photos, videos, recordings or media from any Presidential Inner Circle event or web site be provided to the media without a Club Media Commercial Permission Release Form being approved by the Board. Failure to adhere to this policy may result in the immediate termination of Membership.
Member expressly consents to give the Club full permission and authority to use, publish and display photographs, video tape footage or any other recorded media of Member taken at Club events for use on Club’s web site, in Clubs institutional advertising or other related purposes at the Clubs sole discretion and without further payment to Member.
16/ Non Transferable
Membership is non-transferable to another person, company or party.
Individual Membership allows for you personally to attend events. Member may not elect others to attend in your place.
Corporate Membership provides membership access to one (1) executive from the Member company recorded on the Presidential Inner Circle application form and two (2) other nominated clients. The names of all individuals scheduled to attend an event must be provided to the Presidential Inner Circle Concierge seven (7) days prior to any event.
The Club reserves the right to refuse access to any individuals that we deem to not be suitable to attend Presidential Inner Circle events in the interests of protecting the reputation and good standing of the Club, its members and the individuals or businesses featured at various events.
17/ Attire
Some activities or speakers require a minimum dress standard which all Members will be advised of with adequate notice prior to the event. It is important that this standard be adhered to when required.
18/ Disclaimer
(a) The information provided through the Presidential Inner Circle is for education purposes only. The materials and/or presenters information in no way provide, legal, tax or investment advice and should not be relied upon in that regard. If figures or investment concepts are mentioned, they are for illustrative purposes only. None of the information delivered takes into account the personal financial circumstances or investment needs of any particular investor or Club Member. Each Member must therefore independently assess with due diligence whether it is appropriate, in the light of his/her individual circumstances, to act upon the relevant information. Individuals’ investment results will differ and cannot be guaranteed. Member agrees to seek independent qualified advice from a competent, appropriate licensed financial, accounting and/or legal professional expert prior to implementing any investment program or financial plan. Member waives any damages against the Club, its officers and Club-invited or hosted speakers and presenters arising from damages derived from Member’s reliance upon or utilization of material or information presented by Club.
(b) Members agree to release and hold harmless the Club, and its parent companies, affiliates, subsidiaries, and directors, officers, attorneys, employees, and agents from any and all damage, injury, death, loss, misfortune or other liability of any kind that may arise from or in connection with traveling to, attending and/or utilizing Club services, events and benefits .
19/ General Provisions
(a) This Agreement shall be construed in accordance with the laws of the State of California applicable to agreements wholly to be performed therein. The invalidity or unenforceability of any provision hereof shall in no way affect the validity or enforceability of any other provisions of this Agreement.
(b) This Agreement contains the entire understanding between the parties hereto and all of its terms and conditions shall be binding upon and shall inure to the benefit of the respective parties hereto and their respective successors and assigns. No subsequent modification or waiver shall be valid or binding unless reduced to written form and signed by the party or parties sought to be charged.
(c) The parties shall execute any and all further documents necessary to further the intent and purpose of the parties to the Agreement and shall do all acts necessary to fully effectuate the terms and conditions of the Agreement.
(d) This Agreement may be executed in one or more counterparts, including via facsimile, each of which shall be deemed an original and together shall constitute one and the same agreement.
(e) This Agreement shall be construed without regard to any presumption or rule requiring construction against the party causing such instrument or any portion thereof to be drafted, or in favor of the party receiving a particular benefit under the Agreement. Member has had the opportunity to seek the review of this Agreement by independent counsel.
